Cancellation policy

DEFYNE PERFORMANCE — PURCHASE OPTIONS CANCELLATION POLICY

Last Updated: September 20, 2026

SECTION 1 — PURPOSE AND SCOPE

1.1 Application. This Purchase Options Cancellation Policy applies to automatically renewing subscriptions, fixed-term coaching agreements, memberships, recurring coaching plans, and other recurring purchase options offered by DEFYNE PERFORMANCE.

1.2 Covered Services. Recurring purchase options may include:

(a) personalized online coaching;
(b) membership access;
(c) recurring digital Services;
(d) recurring program access; and
(e) another subscription product identified at checkout or enrolment.

1.3 Plan-Specific Terms. Each subscription or coaching offer may have specific terms concerning:

(a) price;
(b) billing frequency;
(c) commitment period;
(d) number of required payments;
(e) included Services;
(f) access period;
(g) trial or promotional period; and
(h) renewal.

These terms will be disclosed on the applicable offer, enrolment page, checkout, order confirmation, or separately accepted coaching agreement.

1.4 Agreement to Recurring Charges. By purchasing a subscription, you agree to the recurring-payment and cancellation terms disclosed before purchase, including this policy.

1.5 Mandatory Rights. Nothing in this policy limits a cancellation, refund, cooling-off, or consumer-protection right that cannot legally be waived.

SECTION 2 — AUTOMATIC RENEWAL AND BILLING

2.1 Payment Authorization. By purchasing a subscription, you authorize DEFYNE PERFORMANCE and its payment providers to charge your selected payment method at the price and frequency disclosed before purchase.

2.2 Biweekly Billing. Where a coaching subscription is billed biweekly, recurring payments will normally be charged every 14 days according to the billing schedule established at enrolment.

2.3 Continuing Authorization. Recurring charges will continue until:

(a) the subscription is cancelled according to this policy;
(b) the agreed subscription or commitment period ends;
(c) DEFYNE PERFORMANCE cancels the subscription; or
(d) payment can no longer be collected.

2.4 Taxes and Other Charges. Applicable taxes and other charges disclosed before payment may be added to recurring transactions.

2.5 Billing Date. The recurring billing schedule is generally based on the original enrolment or first-payment date unless another schedule was disclosed.

2.6 Customer Responsibility. Before completing enrolment, you are responsible for reviewing:

(a) the recurring price;
(b) the billing frequency;
(c) the agreement term;
(d) the required number of payments;
(e) the cancellation notice period; and
(f) the early-cancellation fee.

SECTION 3 — INITIAL CANCELLATION AND FULL-REFUND PERIOD

3.1 Initial Cancellation Right. A customer may cancel a new coaching agreement and receive a full refund by submitting a valid cancellation request within the initial cancellation period.

3.2 Cancellation Deadline. The initial cancellation period ends at the earlier of:

(a) 11:59 p.m. Central Time on the fifth business day following enrolment; or
(b) 11:59 p.m. Central Time on the seventh calendar day following enrolment, including weekends and holidays.

3.3 Business Day. For this policy, a “business day” means Monday through Friday, excluding statutory holidays observed in Manitoba.

3.4 How to Cancel. The customer must submit the cancellation request by:

(a) using an available subscription-management option;
(b) using the cancellation method provided through the applicable coaching platform; or
(c) emailing defyneperformance@gmail.com.

3.5 Required Information. The cancellation request should include:

(a) the customer’s full name;
(b) the email address associated with the subscription;
(c) the order or subscription number, if available; and
(d) a clear statement requesting cancellation.

3.6 Time of Request. An emailed cancellation request is considered received based on the time shown in DEFYNE PERFORMANCE’s email system.

3.7 Effect of Timely Cancellation. When a valid cancellation request is received within the initial cancellation period:

(a) the coaching agreement will be cancelled;
(b) future recurring payments will be stopped;
(c) coaching and platform access will end;
(d) no 30-day cancellation period will apply;
(e) no final biweekly payments will be required;
(f) no early-cancellation fee will apply; and
(g) amounts paid under the new agreement will be refunded to the original payment method, except where applicable law permits or requires a different result.

3.8 Refund Processing. DEFYNE PERFORMANCE will submit an approved refund within 10 business days. The customer’s financial institution may require additional time to post the refund.

SECTION 4 — CANCELLATION AFTER THE INITIAL PERIOD

4.1 Early Cancellation. A cancellation request submitted after the initial cancellation period is considered an early cancellation when time or payments remain under the accepted coaching agreement.

4.2 Required Notice. Early cancellation requires 30 calendar days’ notice.

4.3 Pending Cancellation Status. After a valid early-cancellation request is received:

(a) the subscription will be designated as Pending Cancellation;
(b) the 30-day notice period will begin on the date the request is received;
(c) coaching and subscription access will continue during the notice period;
(d) required payments will continue during the notice period; and
(e) cancellation will become effective at the end of the notice period.

4.4 No Immediate Termination. Submitting a cancellation request after the initial cancellation period does not:

(a) immediately terminate the subscription;
(b) immediately end coaching access;
(c) eliminate the final biweekly payments;
(d) eliminate the early-cancellation fee; or
(e) refund Services already delivered.

SECTION 5 — TWO FINAL BIWEEKLY PAYMENTS

5.1 Payment Requirement. During the 30-day notice period, the customer remains responsible for two final biweekly subscription payments.

5.2 Payment Processing. The two final payments:

(a) will be charged to the payment method on file;
(b) will be processed according to the applicable billing schedule;
(c) provide continued coaching and platform access during the notice period; and
(d) remain due even if the customer chooses not to use the available Services.

5.3 Non-Refundable Payments. The two final biweekly payments are non-refundable once the applicable coaching period, personalized work, or access has been provided, except where required by law.

5.4 Failed Final Payments. If a final payment fails, DEFYNE PERFORMANCE may:

(a) retry the payment;
(b) request an updated payment method;
(c) suspend coaching access;
(d) refer the outstanding amount for lawful collection; or
(e) take another action permitted by the agreement and applicable law.

5.5 No Extension by Non-Use. Choosing not to participate in coaching during the notice period does not pause or eliminate the final payment obligations.

SECTION 6 — EARLY-CANCELLATION FEE

6.1 Fee Amount. In addition to the two final biweekly payments, the customer must pay an early-cancellation fee equal to 20% of the unpaid agreement balance remaining after the two final biweekly payments have been accounted for.

6.2 Calculation. The early-cancellation fee will be calculated by:

(a) determining the total unpaid agreement balance remaining on the date the cancellation request is received;
(b) subtracting the two final biweekly payments due during the 30-day notice period; and
(c) multiplying the resulting balance by 20%.

6.3 Example. If:

(a) the unpaid agreement balance is $1,000; and
(b) the two final biweekly payments total $300;

then:

(i) the balance remaining after those payments is $700;
(ii) 20% of $700 is $140; and
(iii) the customer owes the two biweekly payments totalling $300 plus a $140 early-cancellation fee.

6.4 No Double Counting. The two final biweekly payments will not also be included in the balance used to calculate the 20% fee.

6.5 Fixed-Term Agreements. The early-cancellation fee applies only where:

(a) the coaching agreement has a defined commitment period or payment balance;
(b) the agreement is being ended before that commitment is completed;
(c) the fee and calculation method were disclosed before enrolment; and
(d) the customer accepted those terms.

6.6 Open-Ended Subscriptions. If a subscription has no defined commitment period or remaining agreement balance, the 20% fee will not apply unless another clearly disclosed and accepted method of calculation applies.

6.7 No Retroactive Application. The fee will not be imposed retroactively on a customer who enrolled under different cancellation terms unless the customer expressly accepts the change.

SECTION 7 — ACCESS DURING PENDING CANCELLATION

7.1 Continued Access. During the 30-day notice period, the customer will retain access to the coaching Services included in the subscription, provided required payments remain current.

7.2 Continued Services. Depending on the purchased plan, continued access may include:

(a) existing programming;
(b) scheduled program updates;
(c) check-ins;
(d) coach messaging;
(e) progress tracking; and
(f) coaching-platform access.

7.3 Customer Participation. The customer may continue using the available coaching Services during the notice period. Failure to use those Services does not create a refund entitlement.

7.4 Access Suspension. DEFYNE PERFORMANCE may suspend access during the notice period because of:

(a) failed payment;
(b) threatening or abusive conduct;
(c) unauthorized sharing of coaching materials;
(d) fraud;
(e) a safety concern; or
(f) a material breach of the agreement.

7.5 Payment Obligations. Suspension caused by customer breach or failed payment does not automatically eliminate valid amounts already due.

SECTION 8 — COMPLETION OF CANCELLATION

8.1 Effective Cancellation Date. Cancellation becomes effective at the end of the 30-day notice period.

8.2 End of Access. At the end of the notice period:

(a) coaching access will end;
(b) platform access associated with the subscription may be removed;
(c) future program updates and check-ins will stop;
(d) recurring billing will stop after required payments have been processed; and
(e) no additional coaching Services will be provided.

8.3 Outstanding Amounts. Ending access does not eliminate:

(a) either of the two final biweekly payments;
(b) the properly calculated 20% early-cancellation fee;
(c) a payment that was validly due before cancellation; or
(d) another amount lawfully owed under the accepted agreement.

8.4 Cancellation Confirmation. DEFYNE PERFORMANCE will provide a confirmation that identifies:

(a) the date the cancellation request was received;
(b) the beginning and end of the notice period;
(c) the two final payment dates and amounts;
(d) the calculation of the 20% early-cancellation fee;
(e) the final access date; and
(f) the effective cancellation date.

SECTION 9 — REFUNDS AFTER THE INITIAL PERIOD

9.1 General Rule. Cancellation after the initial cancellation period does not automatically provide a refund.

9.2 Non-Refundable Amounts. Subject to applicable law, refunds are not normally provided for:

(a) a billing period that has already begun;
(b) coaching already provided;
(c) personalized programming already created;
(d) an intake or assessment already reviewed;
(e) completed check-ins or feedback;
(f) platform access already made available;
(g) digital content already delivered; or
(h) Services the customer chose not to use.

9.3 Possible Refunds. A refund or correction may be available where:

(a) a duplicate payment was processed;
(b) a charge was unauthorized;
(c) a charge was processed after cancellation should have become effective;
(d) DEFYNE PERFORMANCE materially failed to deliver a purchased Service;
(e) DEFYNE PERFORMANCE approved an exception; or
(f) applicable law requires a refund.

9.4 Original Payment Method. Approved refunds will generally be issued to the original payment method.

SECTION 10 — MEDICAL AND EXCEPTIONAL CIRCUMSTANCES

10.1 Accommodation Requests. A customer who cannot continue because of a documented medical condition or exceptional circumstance may request an accommodation.

10.2 Possible Accommodations. DEFYNE PERFORMANCE may approve:

(a) a temporary pause;
(b) a shortened notice period;
(c) a reduced early-cancellation fee;
(d) a credit;
(e) transfer to another suitable Service; or
(f) cancellation without the early-cancellation fee.

10.3 Supporting Information. We may request reasonable documentation necessary to evaluate the request. Customers should not email unnecessary detailed medical records.

10.4 Discretion and Law. Accommodation requests will be considered based on:

(a) the circumstances;
(b) Services already provided;
(c) the remaining agreement term; and
(d) applicable law.

SECTION 11 — CONTRACT FREEZES

11.1 Freeze Availability. A customer may request a temporary freeze of an eligible coaching agreement in one-month increments.

11.2 Maximum Duration. A contract may be frozen:

(a) for a minimum of one month at a time;
(b) for a maximum of six months in total during the agreement; and
(c) only after DEFYNE PERFORMANCE approves the request.

The six-month limit is cumulative. Multiple freezes cannot exceed six total months under the same agreement.

11.3 Advance Request. A freeze request must:

(a) be submitted before the next scheduled payment;
(b) identify the requested start date;
(c) identify the expected return date; and
(d) be sent to defyneperformance@gmail.com or through an approved coaching-platform method.

11.4 Approval. A contract is not frozen until DEFYNE PERFORMANCE provides written or electronic confirmation.

11.5 Effect of an Approved Freeze

During an approved contract freeze:

(a) regular subscription billing will be temporarily paused;
(b) coaching, check-ins, program updates, messaging, and platform access may be suspended;
(c) unused coaching Services will not accumulate;
(d) the agreement remains legally active but temporarily frozen;
(e) the freeze does not reduce the original commitment period;
(f) the freeze does not reduce the number of required payments; and
(g) the agreement end date will be extended by the exact length of the approved freeze.

11.6 Full Agreement Must Be Fulfilled

An approved freeze does not cancel, forgive, shorten, or otherwise remove any portion of the agreement.

After the freeze ends, the customer must complete:

(a) the entire remaining commitment period;
(b) all remaining scheduled payments; and
(c) all other obligations included in the agreement originally accepted.

For example, if three months remain in an agreement when a two-month freeze begins, those three remaining months will resume after the freeze ends.

11.7 One-Month Increments

Each freeze is approved in one-month increments.

A customer requiring additional time must request another one-month extension before the current freeze expires. The combined total of all freezes cannot exceed six months under the same agreement unless DEFYNE PERFORMANCE approves an exceptional accommodation.

11.8 Automatic Reactivation

At the end of the approved freeze:

(a) the agreement will automatically reactivate;
(b) regular biweekly billing will resume;
(c) coaching and platform access will resume according to the purchased plan;
(d) the remaining commitment period will continue from the point at which it was frozen; and
(e) the customer will remain responsible for every outstanding payment required to complete the full agreement.

11.9 Early Reactivation

A customer may request to reactivate the agreement before the approved freeze ends.

If early reactivation is approved:

(a) billing will resume on the confirmed reactivation date;
(b) coaching access will resume; and
(c) the contract end date will be recalculated according to the actual time spent frozen.

In simple terms: if someone signs a 12-month agreement and freezes it for two months, the agreement will take 14 calendar months to complete. They still receive and pay for the full 12 active months they originally accepted

11.10 Cancellation During a Freeze. A freeze cannot be used to avoid cancellation obligations.

If a customer requests cancellation while the contract is frozen:

(a) the freeze will end;
(b) the subscription will enter Pending Cancellation;
(c) the 30-day cancellation notice period will begin;
(d) the two final biweekly payments will remain due;
(e) the applicable 20% early-cancellation fee will remain due; and
(f) access during the notice period will be handled under the cancellation terms of this policy.

11.11 Maximum Reached. After six total months of approved freezes have been used, no further freeze is available under the same agreement unless:

(a) DEFYNE PERFORMANCE approves an exceptional accommodation; or
(b) applicable law requires another result.

11.12 Medical and Exceptional Circumstances. DEFYNE PERFORMANCE may request reasonable supporting information when a freeze is requested because of a medical condition or exceptional circumstance. Customers should not email unnecessary detailed medical records.

11.13 No Transfer. A freeze belongs only to the customer and agreement for which it was approved. It cannot be transferred, exchanged for cash, or applied to another person’s account.

In simple terms: customers can freeze for one month at a time, up to six months total. Billing and coaching pause, the contract end date moves forward, and it automatically restarts after each approved freeze. A freeze cannot be used to avoid the cancellation payments or fee.

SECTION 12 — FAILED OR DECLINED PAYMENTS

12.1 Payment Failure. If a recurring payment is declined, DEFYNE PERFORMANCE may:

(a) retry the charge;
(b) request an updated payment method;
(c) temporarily suspend coaching access; or
(d) cancel access for continued non-payment.

12.2 Outstanding Balance. Suspension or termination because of failed payment does not eliminate valid payment obligations for Services provided or an accepted fixed-term agreement.

12.3 Restoration. Access may be restored after outstanding payments are successfully completed, subject to plan availability and applicable terms.

SECTION 13 — CANCELLATION BY DEFYNE PERFORMANCE

13.1 Cancellation Grounds. DEFYNE PERFORMANCE may suspend or cancel a subscription because of:

(a) failed or overdue payment;
(b) fraud or unauthorized activity;
(c) abusive, threatening, or discriminatory conduct;
(d) misuse or unauthorized sharing of content;
(e) safety concerns;
(f) a material violation of the Terms of Service; or
(g) discontinuation of the applicable Service.

13.2 Customer Breach. Where cancellation results from customer misconduct, non-payment, or material breach, no refund is required for Services already delivered, subject to applicable law.

13.3 Cancellation Without Customer Fault. If DEFYNE PERFORMANCE ends a prepaid subscription without customer fault and cannot provide a reasonable alternative:

(a) the customer will not owe an early-cancellation fee;
(b) charges for undelivered future Services will stop; and
(c) we will provide an appropriate refund or credit for a materially undelivered prepaid portion.

SECTION 14 — PRICE OR SERVICE CHANGES

14.1 Future Changes. Subscription prices, features, platforms, or included Services may change.

14.2 Notice. Where required by law or where a change materially affects an existing subscription, we will provide notice before the change applies.

14.3 Customer Choice. If a material change applies to a future renewal, the customer may cancel before that change takes effect, subject to any previously disclosed and lawful fixed-term commitment.

14.4 No Retroactive Increase. A price increase will not be applied retroactively to a completed billing period.

SECTION 15 — TRIALS AND PROMOTIONAL PRICING

15.1 Trial Conversion. A free or discounted trial may convert into a paid subscription only where that conversion, billing date, and applicable price were disclosed before enrolment.

15.2 Trial Cancellation. To prevent the first paid charge, cancel before the trial or promotional period expires.

15.3 Promotional Limits. Unless stated otherwise, a trial or introductory offer may be limited to one per:

(a) person;
(b) household;
(c) customer account; or
(d) payment method.

15.4 Regular Pricing. After a promotional period ends, the subscription may continue at the regular price disclosed at enrolment.

SECTION 16 — CANCELLATION TECHNICAL PROBLEMS

16.1 Technical Failure. If a customer attempts to cancel on time but experiences a genuine technical problem, the customer should contact us promptly.

16.2 Evidence. We may request:

(a) screenshots;
(b) error messages;
(c) confirmation emails;
(d) the date and time of the attempt; or
(e) other reasonable evidence.

16.3 Review. We will review the circumstances fairly and correct a charge where reliable evidence shows that a timely cancellation should have prevented it.

SECTION 17 — CUSTOMER RESPONSIBILITIES

17.1 Accurate Information. Customers are responsible for maintaining accurate:

(a) contact information;
(b) billing information;
(c) payment information; and
(d) account credentials.

17.2 Reviewing Notices. Customers are responsible for reviewing:

(a) enrolment confirmations;
(b) billing notices;
(c) payment-failure notices;
(d) policy disclosures; and
(e) cancellation confirmations.

17.3 Account Security. Notify DEFYNE PERFORMANCE promptly if you believe a customer account or payment method has been used without authorization.

SECTION 18 — RELATIONSHIP TO OTHER POLICIES

18.1 Additional Policies. Subscriptions are also subject to:

(a) our Terms of Service;
(b) our Privacy Policy;
(c) our Return and Refund Policy;
(d) any coaching agreement; and
(e) plan-specific terms disclosed before purchase.

18.2 Conflicting Terms. If terms conflict, mandatory law and the clearest specific term disclosed and accepted before purchase will control for that issue.

18.3 No Waiver of Rights. Nothing in this policy removes a legal right that cannot lawfully be waived.

SECTION 19 — CONTACT INFORMATION

19.1 Cancellation and Subscription Support. Cancellation requests and subscription questions may be sent to:

DEFYNE PERFORMANCE
Email: defyneperformance@gmail.com
Website: https://www.defyneperformance.com

19.2 Information to Include. Please provide:

(c) the subscription or order number, if available; and
(d) the action you are requesting.

19.3 Payment Security. Do not send complete payment-card information by email.

SECTION 20 — CHANGES TO THIS POLICY

20.1 Updates. DEFYNE PERFORMANCE may update this policy to reflect changes to our subscriptions, Services, platforms, business practices, or legal requirements.

20.2 Existing Agreements. A policy update will not retroactively:

(a) impose a new minimum commitment;
(b) add a new early-cancellation fee;
(c) increase an accepted termination fee; or
(d) remove a cancellation right that applied when an existing agreement was accepted;

unless permitted by law and expressly accepted by the customer.

20.3 Current Version. The “Last Updated” date identifies the current version of this policy.
